Neos7 Points Terms

1. Scope of Application

1.1

These Participation Terms (“Participation Terms”) govern participation in the bonus and rewards programme Neos7 Points of Drion AI AG, Kantonsstrasse 32, 6207 Nottwil, Switzerland (hereinafter “Drion AI” or the “Provider”).

1.2

The Neos7 Points programme forms part of the digital ecosystem of Neos7.io and serves to recognise and reward certain user activities within the platform. It enables the acquisition of virtual points for defined actions in accordance with these Participation Terms.

1.3

These Participation Terms supplement the General Terms and Conditions (DLA-AGB- 001) of Drion AI AG. Unless otherwise provided in these Participation Terms, the provisions of the GTC apply accordingly.

1.4

Participation in the programme requires a valid user account on Neos7.io as well as acceptance of these Participation Terms.

1.5

Participation in the programme is voluntary. There is no legal entitlement to participation, to the award of Neos7 Points or to their permanent retention, unless otherwise required by law.

1.6

These Participation Terms apply exclusively to the Neos7 Points bonus programme. The separate participation terms DLA-TOKEN-001 apply exclusively to the NB7 Utility Token.

1.7

Participation in the programme does not constitute a corporate interest and does not give rise to any claim to profits, dividends, voting rights or other membership rights vis-à-vis Drion AI AG.

1.8

Neos7 Points are virtual bonus points within the Neos7 ecosystem. In particular, they do not constitute legal tender, e-money, a financial instrument, a security or a crypto-asset. They serve exclusively the purposes described in these Participation Terms

2. Participation in the Bonus Programme

2.1 Eligibility

Eligible to participate are natural and legal persons who hold a valid user account on the Neos7.io platform and have accepted these Participation Terms as well as the General Terms and Conditions DLA-AGB-001.

2.2 Requirements

Participation in the programme requires that the user account is duly registered, is not blocked or restricted, and that all requirements necessary for use of the platform are fulfilled.

2.3 Free of Charge

Participation in the Neos7 Points programme is in principle free of charge. Independently of the bonus programme, chargeable services may be offered for individual platform functions or services in accordance with the applicable descriptions of prices and services.

2.4 Commencement of Participation

Participation begins upon successful registration of the user account and the first activation of the bonus programme within the platform, to the extent that a separate activation is provided for.

2.5 Personal Participation

Participation is personal or account-related. Neos7 Points may be collected and used exclusively by the authorised account holder. Transfer of the right to participate to third parties is excluded, unless Drion AI AG expressly permits otherwise.

2.6 Exclusion from Participation

Drion AI AG is entitled to exclude users in whole or in part from participation in the bonus programme or to suspend participation, in particular if:

• these Participation Terms or the General Terms and Conditions

are breached,

• abusive or fraudulent conduct is identified,
• multiple user accounts are used to obtain unjustified advantages,
• technical manipulations are carried out, or
• statutory or regulatory grounds require an exclusion.

2.7 No Entitlement to Participate

There is no entitlement to admission to, continuation of, or reinstatement of participation in the bonus programme. Drion AI AG decides on participation at its dutiful discretion, taking into account the legitimate interests of users as well as the security and integrity of the programme.

2.8 Changes to the Bonus Programme

Drion AI AG is entitled to further develop, adapt or discontinue the Neos7 Points bonus programme, while safeguarding the legitimate interests of participants, provided that there are objective grounds for doing so. Changes do not affect claims already acquired, unless statutory provisions or these Participation Terms provide otherwise.

3. Acquisition of Neos7 Points

3.1 Principle

Participants may receive Neos7 Points for certain activities within the Neos7.io ecosystem as defined by Drion AI AG. The activities eligible for points, the applicable requirements and the number of Neos7 Points credited are determined by Drion AI AG and published on the platform or in supplementary information.

3.2 Activities Eligible for Points

Neos7 Points may in particular be awarded for the following activities:

• use of functions within Neos7.io,
• purchase or use of certain service packages,
• participation in promotions, campaigns or challenges,
• successful referrals of new users, to the extent that a referral programme

is offered,

• participation in beta programmes or product tests,
• contribution to community activities,
• use of AI-supported functions,
• achievement of defined milestones or user levels,
• as well as further activities announced by Drion AI AG.

This list is not exhaustive.

3.3 Crediting

Neos7 Points are credited to the user account once the respective requirements have been fulfilled and the corresponding activity has been successfully completed. Crediting may take place automatically or following a technical or manual review.

3.4 No Entitlement to Credit

An entitlement to the award of Neos7 Points exists only if all requirements of the respective action have been fulfilled. Drion AI AG is entitled to refuse or reverse a credit if

• the requirements have not been fulfilled,
• technical errors exist,
• abusive conduct is identified,
• incorrect information has been provided, or
• the credit was made in error.

3.5 Review

Drion AI AG is entitled to review the requirements for a points credit retrospectively. Until a review has been completed, points may be temporarily blocked or withheld.

3.6 No Cash Payout

Neos7 Points may neither be paid out in money nor exchanged for money, unless Drion AI AG expressly publishes otherwise.

3.7 No Proprietary Right

Neos7 Points are virtual bonus points within the Neos7.io ecosystem. In particular, they do not give rise to any proprietary right, any claim against Drion AI AG, or any entitlement to payout or interest.

3.8 Changes to Award Rules

Drion AI AG is entitled to adapt or further develop the requirements, mechanisms and criteria for the acquisition of Neos7 Points, taking into account the legitimate interests of participants as well as the integrity of the bonus programme. Neos7 Points already duly credited remain unaffected, unless these Participation Terms or mandatory statutory provisions provide otherwise.

4. Administration of the Points Account

4.1 Points Account

For each participant, a personal points account is maintained within their user account on Neos7.io, in which acquired Neos7 Points are recorded. There is no entitlement to the establishment of multiple points accounts.

4.2 Points Balance

The current points balance may – to the extent technically available – be viewed within the user account. The displayed points balance serves solely to inform the participant.

4.3 Entries

Credits, debits, corrections and the expiry of Neos7 Points are documented in the points account. Drion AI AG is entitled to correct erroneous entries at any time.

4.4 Review of the Points Balance

The participant is obliged to review the displayed points balance regularly. Discrepancies should be reported to Drion AI AG within a reasonable period after becoming aware of them.

4.5 Corrections

If Drion AI AG determines that Neos7 Points have been awarded or debited due to technical errors, abusive conduct or credits made in error, it is entitled to make corresponding corrections. Where possible, the affected participant will be informed of material corrections.

4.6 Account Blocking

If the user account is temporarily blocked or restricted, the points account may also be restricted for the duration of the measure. During a block, in particular, no Neos7 Points may be collected, redeemed or transferred.

4.7 Termination of the User Account

Upon termination of the user account, participation in the Neos7 Points programme also generally ends. The consequences for existing points balances are governed by Chapter 7 (Expiry of Neos7 Points) as well as the General Terms and Conditions DLA-AGB-001.

4.8 Technical Availability

Administration of the points account takes place within the technical capabilities of Neos7.io. Temporary restrictions, maintenance work or technical disruptions may result in points balances not being displayed or updated, or being displayed or updated only to a limited extent, for a period of time.

4.9 No Legal Entitlement to a Specific

Points Balance The points balance displayed in the user account is subject to technical or accounting corrections. Obvious display, calculation or system errors do not give rise to any entitlement to a corresponding points credit.

4.10 System Migrations

As Neos7.io is continuously further developed, the following is additionally included: In the course of technical developments, system migrations or platform updates, administration of the points account may be temporarily restricted. Drion AI AG endeavours to ensure the integrity of points balances and to make necessary corrections.

5. Redemption and Use

5.1 Principle

Neos7 Points may be used exclusively within the Neos7.io ecosystem operated by Drion AI AG. The nature, scope and requirements of redemption options are determined by Drion AI AG and published on the platform or in supplementary information.

5.2 Redemption Options

Neos7 Points may in particular be used for the following purposes:

• unlocking or using certain platform functions,
• use of digital services,
• use of AI-supported functions,
• participation in promotions, campaigns or community offerings,
• discounts or benefits on selected services,
• digital products or content,
• conversion into the NB7 Utility Token, if and to the extent this is by Drion AI AG

offered,

• further functions or services within the Neos7.io

ecosystem offered in the future. This list is not exhaustive.

5.3 Redemption

Redemption of Neos7 Points takes place exclusively in accordance with the conditions applicable at the time of redemption. The points value required in each case and the available redemption options are published on the platform.

5.4 No Cash Payout

Neos7 Points may neither be paid out nor exchanged for money, legal tender or other assets, unless Drion AI AG expressly determines otherwise.

5.5 No Entitlement to Specific Redemption Options

There is no entitlement to the permanent provision of specific rewards, functions, benefits or other redemption options. Drion AI AG is entitled to adapt, expand or discontinue redemption options, taking into account the legitimate interests of participants.

5.6 Technical Requirements

Redemption of Neos7 Points requires that

• the user account is active,
• sufficient Neos7 Points are available,
• the technical requirements are fulfilled, and
• there is no blocking or restriction of the user account.

5.7 Reversal

Neos7 Points already redeemed generally cannot be reversed or refunded. This does not apply in cases where redemption was not properly effected due to a demonstrable technical error on the part of Drion AI AG.

5.8 Abuse

Drion AI AG is entitled to refuse or reverse the redemption of Neos7 Points if

• the redemption is abusive,
• technical manipulations are identified,
• these Participation Terms or the General Terms and Conditions

have been breached, or

• statutory or official requirements so require.

5.9 Further Development of the Bonus Programme

Drion AI AG continuously further develops the Neos7 Points programme. New redemption options, functions or areas of application may be added at any time, provided that the legitimate interests of participants are adequately taken into account.

6. Conversion into NB7 Utility Token (Optional)

6.1 Principle

Drion AI AG may in future offer participants the possibility of converting Neos7 Points in whole or in part into NB7 Utility Tokens in accordance with these Participation Terms and the separate participation terms DLA- TOKEN-001. There is no entitlement to the introduction or permanent provision of such a conversion.

6.2 Requirements

A conversion is permissible only if all requirements specified by Drion AI AG are fulfilled. These may in particular include:

• an active user account on Neos7.io,
• a sufficient balance of Neos7 Points,
• acceptance of the participation terms DLA-TOKEN-001,
• connection of a compatible blockchain wallet,
• fulfilment of statutory or regulatory requirements,
• further requirements specified by Drion AI AG.

6.3 Conversion Conditions

The applicable conversion rate, any minimum or maximum quantities, and further technical and organisational requirements are determined by Drion AI AG and published prior to the conversion being carried out. Drion AI AG is entitled to adapt these conditions, taking into account the legitimate interests of participants.

6.4 Execution of the Conversion

Upon successful conversion, the corresponding Neos7 Points are permanently deducted from the points account. The NB7 Utility Tokens credited are governed by the conditions applicable at the time of conversion.

6.5 Blockchain Transactions

To the extent that blockchain technologies are used for the conversion, the NB7 Utility Tokens are transferred to the compatible blockchain wallet specified by the participant. The participant is solely responsible for the accuracy of the wallet address and for the secure custody of the wallet access credentials.

6.6 Fees

To the extent that network fees (gas fees) or comparable transaction costs arise in connection with the conversion, these will be displayed to the participant prior to the conversion being carried out, where technically possible. Responsibility for such fees is governed by the conditions published from time to time.

6.7 No Entitlement to Conversion

There is no entitlement to the conversion of Neos7 Points into NB7 Utility Tokens, to a specific conversion rate, or to the permanent provision of this function. Drion AI AG is entitled to restrict, adapt or discontinue the conversion function for technical, economic, legal or regulatory reasons.

6.8 Supplementary Participation Terms

The participation terms (DLA-TOKEN- 001) apply additionally to the NB7 Utility Token.

7. Expiry of Neos7 Points

7.1 Principle

Neos7 Points may expire in accordance with these Participation Terms. The requirements, periods and details of expiry are determined by Drion AI AG and published on the platform or in supplementary programme information.

7.2 Inactivity

Neos7 Points may in particular expire if the user account or the points account shows no points-relevant activity over a longer period specified by Drion AI AG. The applicable periods will be announced in an appropriate manner before they take effect.

7.3 Termination of the User Account

Upon final deletion of the user account or termination of participation in the programme, any remaining Neos7 Points may expire, unless statutory or contractual provisions provide otherwise.

7.4 Abuse

Neos7 Points obtained through abusive, fraudulent or other unlawful conduct may be deleted or declared invalid at any time without compensation. Further rights of Drion AI AG remain unaffected.

7.5 Technical or Accounting Corrections

Drion AI AG is entitled to correct or remove Neos7 Points to the extent that this is necessary due to technical errors, incorrect credits or other obvious inaccuracies.

7.6 No Compensation

There is no entitlement to payout, compensation or replacement in respect of the expiry or deletion of Neos7 Points.

7.7 Information of Participants

To the extent that expiry is based on general programme rules, Drion AI AG will – where technically possible and reasonable – inform participants in an appropriate manner prior to the expiry of their Neos7 Points.

7.8 Changes to Expiry Rules

Drion AI AG is entitled to adapt the rules on the expiry of Neos7 Points, taking into account the legitimate interests of participants as well as for objective reasons. Participants will be informed of material changes in good time.

8. Abuse and Sanctions

8.1 Principle

Participants undertake to use the Neos7 Points programme exclusively in accordance with these Participation Terms, the General Terms and Conditions DLA-AGB-001 and the applicable statutory provisions. Any abusive or fraudulent use of the programme is prohibited.

8.2 Abusive Conduct

Abusive use includes in particular:

• the intentional obtaining of Neos7 Points by deception,
• the use of multiple user accounts to obtain unjustified advantages,
• the provision of incorrect or misleading information,
• the use of automated systems, bots or scripts to generate Neos7

Points,

• technical manipulations or circumvention of security measures,
• abusive use of referral, bonus or promotional programmes,
• use of the programme for unlawful purposes,
• other acts capable of impairing the integrity or functionality of the

programme. This list is not exhaustive.

8.3 Measures by Drion AI AG

In the event of a breach of these Participation Terms or a reasonably founded suspicion of abusive conduct, Drion AI AG is entitled to take appropriate measures, taking into account the legitimate interests of the participant. These may in particular include:

• temporary suspension of points credits,
• blocking of individual Neos7 Points,
• correction or deletion of unlawfully obtained Neos7 Points,
• temporary or permanent blocking of participation in the bonus programme,
• restriction of individual programme functions,
• termination of the user relationship in accordance with the General

Terms and Conditions,

• assertion of statutory claims.

8.4 Investigation of Suspected Cases

Drion AI AG is entitled to examine reasonably founded suspected cases and, for this purpose, to evaluate the information required for clarification, provided this is done in accordance with applicable data protection provisions. During the examination, Neos7 Points or programme functions may be temporarily blocked.

8.5 No Entitlement to Restoration

If Neos7 Points are deleted or declared invalid due to a breach of these Participation Terms, there is no entitlement to their restoration or replacement.

8.6 Statutory Claims

Further statutory rights as well as claims for damages, injunctive relief or other claims of Drion AI AG remain unaffected by these Participation Terms.

8.7 Reporting of Abuse

Participants are requested to notify Drion AI AG without delay, via the designated communication channels, of known or suspected cases of abuse, security vulnerabilities or attempted manipulations. Reporting a suspicion does not give rise to any entitlement to a specific measure or response.

9. Amendment or Discontinuation of the Bonus Programme

9.1 Further Development of the Programme

Drion AI AG continuously further develops the Neos7 Points programme in order to take appropriate account of new functions, technical innovations and the needs of participants. This may in particular include the introduction or further development of new possibilities for acquiring, using or administering Neos7 Points, new functions within the Neos7.io ecosystem, and further applications and services of the digital ecosystem of Drion AI AG.

9.2 Changes to the Bonus Programme

Drion AI AG is entitled to amend or supplement the Neos7 Points programme with effect for the future, provided that there is an objective reason for doing so. An objective reason exists in particular in the event of:

• technical developments,
• introduction of new platform functions or service packages,
• changes to statutory or regulatory requirements,
• security or abuse prevention,
• changes to economic or organisational circumstances,
• further development of the digital ecosystem of Drion AI AG,
• other comparable objective reasons.

9.3 Information of Participants

Participants will be informed in good time and in an appropriate manner of material changes to the bonus programme or these Participation Terms. To the extent required by law or provided for contractually, the consent of participants will be obtained.

9.4 Discontinuation of the Bonus Programme

Drion AI AG is entitled to discontinue the Neos7 Points programme in whole or in part, provided that there is an objective reason for doing so. In the event of a complete discontinuation, Drion AI AG will – to the extent legally and technically possible – inform participants with reasonable notice and inform them in an appropriate manner of the treatment of existing Neos7 Points.

9.5 Effects on Existing Neos7 Points

In the event of an amendment or discontinuation of the programme, Drion AI AG shall decide at its equitable discretion and taking into account the legitimate interests of participants on the further treatment of Neos7 Points already credited. This may in particular include transitional arrangements, redemption periods, conversion options or other compensatory measures. There is no statutory entitlement to specific transitional arrangements.

9.6 Continued Validity of Other Agreements

Amendment or discontinuation of the Neos7 Points programme does not affect the validity of the General Terms and Conditions DLA-AGB-001, the Privacy Policy (DLA-DP- 001) or other supplementary agreements of Drion AI AG, unless these are expressly amended or revoked.

10. Data Protection

10.1

Processing of Personal Data Drion AI AG processes participants’ personal data exclusively within the framework of the applicable data protection provisions and in accordance with the current Privacy Policy of Drion AI AG DLA-DP-001. The nature, scope, purposes, legal bases and duration of the processing of personal data are set out in the Privacy Policy.

10.2

Processing in the Context of the Bonus Programme For the operation and administration of the Neos7 Points programme, Drion AI AG processes those personal data that are necessary for participation in the bonus programme, maintenance of the points account, crediting and redemption of Neos7 Points, and for ensuring the security, integrity and abuse prevention of the programme. Processing takes place exclusively for the purposes provided for this and in accordance with the applicable data protection provisions and the Privacy Policy of Drion AI AG DLA-DP-001. To the extent that participants use the optional conversion of Neos7 Points into NB7 Utility Tokens, the personal data processing required for this takes place in accordance with these Participation Terms, the participation terms DLA-TOKEN-001 and the Privacy Policy of Drion AI AG DLA-DP-001.

10.3

Use of Service Providers To provide and administer the Neos7 Points programme, Drion AI AG may engage external service providers. To the extent that personal data are processed in this context, this takes place exclusively within the framework of the applicable data protection provisions and in accordance with the Privacy Policy DLA-DP-001.

10.4 Data Subject Rights

The rights of participants, in particular to information, rectification, erasure, restriction of processing, data portability, objection and further rights provided by law, are governed by the Privacy Policy of Drion AI AG (DLA-DP- 001) and the applicable data protection provisions.

10.5 Changes to the Privacy Policy

The Privacy Policy of Drion AI AG DLA-DP-001 may be updated in accordance with the provisions set out therein. The current version published on Neos7.io is decisive in each case.

11. Liability

11.1 Supplementary Application of the General

Terms and Conditions The liability of Drion AI AG is additionally governed by the liability provisions of the General Terms and Conditions DLA-AGB-001 as amended from time to time. The following provisions supplement these exclusively for the Neos7 Points programme.

11.2 Technical Availability

Drion AI AG does not warrant the uninterrupted availability of the Neos7 Points programme or of individual programme functions. In particular, maintenance work, technical disruptions, security measures or other events outside the control of Drion AI AG may lead to temporary restrictions.

11.3 Points Balances and Technical Errors

Drion AI AG endeavours to maintain points balances and entries properly. Obvious display, calculation, booking or system errors may be corrected at any time and do not give rise to any entitlement to permanently incorrect credits or points balances.

11.4

Use of the Bonus Programme Participation in the Neos7 Points programme takes place on the basis of these Participation Terms. Drion AI AG assumes no liability for disadvantages arising from participants not using available redemption options, promotions or deadlines, or not using them in good time.

11.5 External Services

To the extent that the bonus programme uses or is connected with functions or services of external providers, Drion AI AG assumes no liability for their availability, functionality or performance, unless these fall within the sphere of responsibility of Drion AI AG.

11.6 Conversion into NB7 Utility Token

To the extent that the optional conversion of Neos7 Points into NB7 Utility Tokens is offered, the participation terms DLA-TOKEN-001 apply additionally. Blockchain-related risks, wallet administration and transactions are governed exclusively by the provisions set out therein.

11.7 Statutory Liability

Mandatory statutory liability provisions, in particular in cases of intent, gross negligence or injury to life, body or health, remain unaffected by these Participation Terms.

12. Final Provisions

12.1 Supplementary Application of the General

Terms and Conditions Unless these Participation Terms contain diverging provisions, the General Terms and Conditions of Drion AI AG DLA-AGB-001 as amended from time to time apply additionally.

12.2 Applicable Law

All legal relationships in connection with the Neos7 Points programme are governed by the substantive law of Switzerland, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Mandatory statutory consumer protection provisions of the state in which the participant has their habitual residence remain unaffected.

12.3 Place of Jurisdiction

To the extent permitted by law, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Participation Terms is the registered office of Drion AI AG. Mandatory statutory places of jurisdiction and mandatory consumer protection provisions remain unaffected.

12.4 Severability Clause

Should individual provisions of these Participation Terms be or become wholly or partially invalid, unenforceable or void, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by the legally permissible provision that comes closest to the economic purpose of the invalid or unenforceable provision. The same applies to any gaps in the provisions. Amendments to these Participation Terms are made exclusively for objective reasons, taking into account the legitimate interests of participants and the applicable statutory provisions.

12.6 Entry into Force

These Participation Terms enter into force upon their publication on Neos7.io. They apply to all participants in the Neos7 Points programme as of the date they enter into force.

12.7 Document Management

These Participation Terms are maintained by Drion AI AG under the document identifier DLA-POINTS-001. The version published on Neos7.io and designated as valid is decisive in each case. Amendments and versioning take place in accordance with the internal documentation and approval processes of Drion AI AG.
